Disclaimer
1. Eligibility
1.1 You may only participate in the Games (defined below) if you are over 18 years of age (or such other minimum legal age in the jurisdiction where you are connecting) and it is legal for you to do so according to the laws that apply in the jurisdiction from where you are connecting. You understand and accept that the Company is unable to provide you with any legal advice or assurances and that it is your sole responsibility to ensure that at all times you comply with the laws that govern you and that you have the complete legal right to play the Games. Any participation in the Games is at your sole option, discretion and risk. By playing the Games, you acknowledge that you do not find the Games or Services to be offensive, objectionable, unfair, or indecent in any way.
1.2 Users may only hold one account; it is not allowed to register as new users under another name or another email address. If a user violates this rule, we are entitled to cancel any wagers placed and terminate accounts, and refuse the payment of balances on these accounts.
1.3 You shall not allow any third party to use your login details. You accept full responsibility for the consequences of allowing such activity and, without derogating from the generality of any other indemnity contained herein, agree to indemnify and hold the Company harmless in respect of any damages arising from any such actions.
1.4 You guarantee that you will not at any time:
(i) act on behalf of another party,
(ii) deposit money originating from criminal activity,
(iii) deposit money through a credit card which you are not authorised to use, or knowingly receive money from such credit card, or
(iv) use your account for money laundering.
2. Security and funds management
2.1 You are responsible for safeguarding the confidentiality of your log in details; this includes ensuring the ongoing security of your personal computer device for accessing the internet. You shall be responsible for all uses of your registration and password, whether or not they were authorised by you. We are entitled to treat any transaction as valid and are not responsible under any circumstances for any loss or damage you may incur as a result. You agree to immediately notify us of any unauthorised use of your account so that we may suspend your account.
2.2 The Company reserves the right to apply minimum and maximum limits with respect to amounts that may be paid into your account. The Company may consider, without limitation, your history with the Company and the method of payment. You acknowledge and accept that the Company is not a bank and that any money on your account is not guaranteed by any governmental agency or authority. Payments into your account can only be made in a currency accepted by the Company. Money in the account will not earn any interest.
3. Identity authentication and personal data processing
3.1 We reserve the right to conduct a security review at any time to validate your identity, age, and the registration data provided by you and to verify your use of the Service and your financial transactions for potential breach of our security policy and of applicable law.
3.2 By accepting this end user agreement, you authorise us, to use any personal data with which you provide the Company for the Company's management of your account and for other purposes as the Company decides, including, without limitation, direct marketing activities (including, for the avoidance of doubt, direct marketing activities carried out by third parties). Moreover you accept that the Company (i) discloses your personal data to third parties for the purposes of validating any information you provide to us in the course of using the Services and (ii) transfers your personal data to any jurisdiction. Security reviews may include but are not limited to ordering a credit report and/or otherwise verifying the information you provide against third-party databases. In addition, to facilitate these security reviews, you agree to provide such information or documentation as we may request.
3.3 By accepting this end user agreement, you acknowledge and accept that you are at all times responsible for the accuracy of the personal data with which you provide the Company, and undertake to keep the personal data updated so as to be accurate at all times.
3.4 We reserve the right to request users to send proof of identity before paying out real money credit from betting accounts. In case of discrepancies with the personal data provided during registration, no money will not be paid out to the user unless the user is able to provide the Company with proof of the user's right to the balance on the betting account in another way.
4. Anti-cheating software etc.
4.1 You may not use any software applications that are designed to enable you to earn an advantage over other players, including without limitation, applications designed to enable opponent-profiling, player collusion and cheating software.
4.2 You may not engage in other activities that may earn you an unfair advantage over other players, including without limitation, multi-accounting, collusion and other game play having such effects.
4.3 You acknowledge and accept that the Company will take measures to detect and prevent the use of such applications and activities using all reasonable detection methods (including without limitation reading the list of applications running on your computer).
5. Freezing of account and account termination
5.1 The Company reserves the right to, for reasons of any suspected irregularities in the game and your or other customers' behaviour, freeze your account and withhold any payments until a full investigation has taken place. Any such investigation will be carried out by the Company in cooperation with the relevant governing body and/or independent authority if deemed necessary by the Company.
5.2 At our discretion, we may suspend or limit access to your account indefinitely, this includes placing a hold on funds in your account, or terminating your account for, but not limited to, the following reasons:
a) Breach of this end user agreement;
b) If we have reason to believe that your account is connected with unauthorised credit card or bank account use;
c) Abuse by you of the reversal or charge back process provided by your bank or credit card company;
d) Receipt in your account of potentially fraudulent funds, including but not limited to, funds obtained through collusion or unlawful or improper activity;
e) If you register an account with fake details, including name, address, telephone number and email address;
f) Lack of cooperation in an investigation or failure to provide adequate confirmation of identity or security information when requested within any reasonable timeframe specified in a security review request.
g) We believe that your account, whether active or dormant, or your conduct, poses a security, credit, fraud or business risk to us.
6. Assignment
6.1 You shall not have the right to assign this end user agreement.
6.2 The Company is entitled to assign this end user agreement, without your consent.
7. Partial invalidity
If any provision of this end user agreement or the application of it shall be declared or deemed void, invalid or unenforceable in whole or in part for any reason, you and the Company shall amend this end user agreement in order to give effect to, so far as is possible, the spirit of this hereof. If the you and the Company fail to amend this end user agreement, the provision, which is void, invalid or unenforceable, shall be deemed amended to the extent needed to be valid and enforceable and the remaining provisions of this end user agreement shall continue in full force and effect.
8. Dispute Resolution and choice of law
8.1 You fully accept and agree that random number generator ("RNG") software will determine the shuffling and dealing of the tiles and other randomly generated events required in the Games. If there is a discrepancy between the result showing on the Software (as installed and operated on your hardware) and our server, the result showing on our server shall govern the result of the Game. Moreover, you understand and agree that (without prejudice to your other rights and remedies) the Company records shall be the final authority in determining the terms of your participation in the Games, the activity resulting there from and the circumstances in which they occurred.
8.2 If you have any dispute with regard to any outcome in the Games or any other activity, you must submit your complaint to the Company in writing within fourteen (14) days of the incident by email to . Any notice we give to you (save as otherwise set out herein) will be sent to the email address that you provided when you registered your Account. It is your responsibility to give us notice of any changes to this address through the 'Change Email' facility in our Software and regularly check your email account for emails from the Company. If warranted, we reserve the right to confiscate any funds won through cheating and redistributing these funds to any victimised entities.
8.3 This end user agreement shall be governed by and construed in accordance with the laws of the Philippines without giving effect to conflicts of law principles. You irrevocably agree to submit, for the benefit of the Company, to the exclusive jurisdiction of the courts of Philippines for settlement of any disputes or matters arising out of or concerning this end user agreement or its enforceability.
9. License grant and Copyright
9.1 Any software and/or website content that is made available to download from this server (collectively referred herein to as "Software") is the copyrighted work of UNIVITS NETWORK ASIA and/or its suppliers. Your use of the Software is governed by the terms of this end user agreement, which accompanies or is included with the Software.
9.2 You are hereby granted a royalty free limited, personal, non-transferable, non-assignable, non-exclusive right to install and use the Software on computers for which you are the primary user. This licence is effective until terminated in accordance with the terms and conditions hereof. Upon such termination, you agree to destroy the Software together with all copies of the Software, if any.
9.3 The Software is protected by copyright law and international treaty provisions. You do not acquire any rights to the Software except as expressly set forth in this end user agreement. Subject to any applicable mandatory laws and regulations, you agree that you will not attempt to reverse engineer, modify, translate, disassemble, distribute, reproduce, rent, loan or lease the Software, in whole or part, or authorise others to do any of the foregoing.
10. Limited Warranty
10.1 UNIVITS NETWORK ASIA and eMahjong.net do not warrant that the Software is error free. UNIVITS NETWORK ASIA and eMahjong.net hereby disclaims all warranties and conditions with regard to the Software, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement.
10.2 UNIVITS NETWORK ASIA and eMahjong.net and/or its respective suppliers make no representations about the suitability of the information contained in the documents, including, for the avoidance of doubt, this end user agreement, and related graphics published on this server for any purpose. All such documents and related graphics are provided "as is" without warranty of any kind. UNIVITS NETWORK ASIA and eMahjong.net and/or its respective suppliers hereby disclaim all warranties and conditions with regard to this information, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement. In no event shall UNIVITS NETWORK ASIA and eMahjong.net and/or its respective suppliers be liable for any special, punitive, indirect or consequential damages or any damages whatsoever resulting from loss of use, data or profits, whether in an action of contract, negligence or other tortuous action, arising out of or in connection with the use or performance of information available from this server. The documents and related graphics published on this server could include technical inaccuracies or typographical errors. Changes are periodically added to the information herein.
10.3 UNIVITS NETWORK ASIA and eMahjong.net and/or its respective suppliers may make improvements and/or changes in the product(s) and/or the program(s), including the Software, described herein at any time.
11. Subcontractors
The Company may use subcontractors to carry out any of its obligations set forth herein or otherwise to provide the Services and Games.
12. Force majeure
The Company shall not be under any liability to you on account of any loss, damage or delay occurred or caused by non-performance of any obligation under this end user agreement by reason of industrial disputes (including labour disputes), fire, natural disasters, war, general mobilisation or military mobilisation of similar degree, acts of terrorism, requisition, seizure, currency restrictions and riots.
13. Entire agreement
This end user agreement and the documents referred to herein represent the complete and final agreement between you and the Company in relation to this agreement and supersede any and all prior agreements between you and the Company. By accepting this end user agreement, you are accepting any potential changes to the terms of use.
14. Amendments
The Company may amend this end user agreement at any time by publishing the modified end user agreement on the relevant page of the Platforms or any place through which you access the Services. Any such modification will take effect immediately upon notification and in any event within 30 days of publication. If any modification is unacceptable to you, your only recourse is to terminate this end user agreement. Your continued use of the Software following notification or as the case may be such 30-day period will be deemed binding acceptance of the modification. It is your sole responsibility to review this end user agreement and amendments hereto each time you play.
15. Limitation of liability
Without prejudice to any other limitations of liability set forth herein, in no event shall UNIVITS NETWORK ASIA Inc. and eMahjong.net and/or its respective suppliers be liable for any special, punitive, indirect or consequential damages or any damages whatsoever resulting from loss of use, data or profits, whether in an action of contract , negligence or other tortuous action, arising out of or in connection with the use or performance of software, documents, provision of or failure to provide services, or information available from this server.
